Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and AuraWorld Services Inc. ("AuraWorld", "we", "us", or "our"), governing your access to and use of AuraWorld's services, including but not limited to:

  • Purified and Alkaline Water Delivery Services
  • Corporate and Event Food Services
  • Professional Printing and Branding Solutions

By engaging AuraWorld's services, signing a service agreement, or placing an order, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not use our services.

2. Eligibility

Our services are available to businesses, organizations, and individuals who are of the age of majority in their jurisdiction. By accepting these Terms, you represent and warrant that you have the authority to bind yourself or your organization to this agreement.

3. Service Descriptions

3.1 Water Delivery Services

AuraWorld provides purified, alkaline, and custom-formulation water delivery for corporate campuses, events, and institutional clients. Delivery schedules, volumes, and container formats are agreed upon in individual service orders. Water quality standards comply with Health Canada guidelines and applicable provincial regulations.

3.2 Food Services

AuraWorld provides cafeteria management, executive catering, event catering, and food supply chain management. Menu design, staffing levels, dietary accommodations, and service frequency are specified in individual contracts. AuraWorld follows all applicable food safety standards under the Safe Food for Canadians Act and provincial food handling regulations.

3.3 Printing & Branding Solutions

AuraWorld provides digital printing, offset printing, large-format banners, label production, business cards, secure ID card printing, and managed print services. Print specifications, turnaround times, quantities, and file requirements are defined per order. Clients are responsible for ensuring submitted design files comply with our file preparation guidelines.

4. Orders & Agreements

  • All service engagements must be initiated through a written purchase order, service agreement, or confirmed quote.
  • Orders are subject to AuraWorld's capacity and availability at the time of request.
  • AuraWorld reserves the right to refuse service at its discretion.
  • Minimum order quantities and lead times vary by service category and are communicated at the time of quoting.
  • Changes or cancellations to orders must be submitted in writing to solutions@auraworld.ca and are subject to applicable cancellation fees.

5. Pricing & Payment

  • All prices are quoted in Canadian Dollars (CAD) unless otherwise specified and are subject to applicable taxes.
  • Invoices are issued upon order confirmation or delivery, as specified per service agreement.
  • Standard payment terms are Net 30 days from invoice date unless otherwise agreed in writing.
  • Late payments are subject to interest at a rate of 1.5% per month (18% per annum) on overdue balances.
  • AuraWorld reserves the right to suspend services for accounts with outstanding balances exceeding 60 days past due.
  • All quoted prices are valid for 30 days from the date of quotation.

6. Client Responsibilities

  • Provide accurate delivery addresses, access information, and contact details.
  • Ensure suitable facilities are available for service delivery (e.g., adequate refrigeration for food services, storage space for water dispensers).
  • Supply print-ready files in the correct formats and specifications as communicated by AuraWorld.
  • Notify AuraWorld of any changes to delivery or service requirements with at least 48 hours' notice.
  • Ensure all content submitted for printing does not infringe third-party intellectual property rights.

7. Intellectual Property

All content, branding, designs, and materials produced by AuraWorld for general marketing remain the intellectual property of AuraWorld. Design files, artwork, and print materials produced specifically for a Client and fully paid for become the Client's property upon receipt of full payment. Clients grant AuraWorld a limited license to reproduce submitted designs solely for the purpose of fulfilling the contracted print order.

8. Warranties & Disclaimers

AuraWorld warrants that services will be performed in a professional manner consistent with industry standards. We do not warrant that services will be error-free or uninterrupted in all circumstances. AuraWorld's liability for defective products or services is limited to re-performance of the relevant service or a credit toward future orders, at AuraWorld's discretion.

Services are provided "as available" and subject to operational capacity. AuraWorld makes no representations regarding third-party supplier reliability.

9. Limitation of Liability

To the maximum extent permitted by law, AuraWorld's total liability to any Client for any claim arising out of or in connection with these Terms or any service engagement shall not exceed the total fees paid by that Client to AuraWorld in the three (3) months preceding the claim.

AuraWorld shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.

10. Force Majeure

AuraWorld shall not be liable for any delay or failure to perform obligations resulting from causes beyond its reasonable control, including but not limited to natural disasters, pandemics, strikes, supply chain disruptions, government actions, or infrastructure failures. AuraWorld will notify Clients promptly of any such event and work in good faith to minimize disruption.

11. Termination

Either party may terminate a service agreement with 30 days' written notice, subject to any minimum commitment terms specified in the service contract. AuraWorld may terminate or suspend services immediately upon a material breach by the Client, including non-payment, misuse, or violation of these Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.

13. Amendments

AuraWorld reserves the right to amend these Terms at any time. Clients will be notified of material changes via email or website notice at least 14 days prior to the effective date. Continued use of services after the effective date constitutes acceptance.
